Goodwine Consumer Terms of Service

Goodwine does not sell alcohol. Goodwine operates a technology platform. Every bottle you buy through the Platform is sold to you by the winery that produced it, under that winery’s own licenses and permits. The winery is the seller and the merchant of record. Goodwine is paid a flat service fee by the winery for use of the Platform and never takes title to or possession of any wine.
1. Who we are and what these terms cover #
These Consumer Terms of Service (the "Terms") govern your use of goodwine.co and any related site, application or service operated by Goodwine, Inc. ("Goodwine", "we", "us"). By creating an account, placing an order, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
If you are buying wine for resale under a retail or on-premise license, these Terms do not apply to you. Trade purchases are governed by the Goodwine Trade Buyer Terms of Service.
2. You must be 21 or older #
You must be at least 21 years old to create an account, place an order, or receive a delivery. By using the Platform you represent that you are 21 or older and that any wine you buy is for personal consumption and not for resale.
- Your age may be verified electronically when you place an order, and it will be verified again at delivery.
- Every delivery requires the signature of an adult 21 or older, with valid government-issued photo identification. Deliveries are not left unattended.
- If no eligible adult is available, the carrier will attempt redelivery and may ultimately return the shipment to the winery. Return shipping and restocking costs may be deducted from your refund.
- We may refuse, cancel, or report any order we reasonably believe involves a person under 21, a false identity, or an intent to resell.
3. Where we can ship #
Wine can only be shipped to states where the selling winery holds a valid direct-shipping permit, and only in quantities that state allows. The Platform shows you what is available at your address. Some states prohibit direct wine shipment entirely, and some limit how much any one household may receive in a year. If your order cannot lawfully be fulfilled, it will be cancelled and refunded in full.
You are responsible for knowing and complying with the laws of your own state. You may not arrange for wine to be shipped to a state where receipt would be unlawful, or use a third party or reshipping service to circumvent a restriction.
4. Orders, pricing and payment #
Each listing shows the price set by the winery. Goodwine does not set, cap or influence prices. Placing an order is an offer to buy from that winery, and a sale is formed only when the winery accepts and fulfills it. A winery may decline any order, including for stock, permit or delivery-address reasons.
Payment is processed through our payment provider into an account controlled by the selling winery, which is the merchant of record. Your card statement may show the winery’s name, Goodwine’s name, or both. Sales tax and any applicable excise or bottle-deposit charges are calculated at checkout. Shipping charges are shown before you confirm.
5. Delivery, title and risk #
Title to the wine passes from the winery to you at the point specified by the winery’s own terms and the law of the shipping state. Delivery windows are estimates, not guarantees. Wine is perishable and sensitive to heat; wineries may hold shipments during extreme weather, and we will tell you if that happens to your order.
6. Returns, damage and refunds #
The winery is responsible for its own returns, refunds and damage claims, because the winery is the seller. Report a damaged, faulty or incorrect shipment through the Platform within 14 days of delivery, with photographs where relevant, and we will route the claim to the winery and help you resolve it. Alcohol cannot generally be returned once accepted, except where it arrived damaged, spoiled or incorrect, or where state law requires otherwise. Where you receive a refund, Goodwine refunds its own service fee in full on a full refund and pro rata on a partial one.
7. Your account #
Keep your login credentials secure and tell us promptly if you suspect unauthorized use. You are responsible for activity under your account. You may not create an account on behalf of someone else, share an account, use a false name or age, or use the Platform if we have previously suspended you. We may suspend or close an account for breach of these Terms, suspected fraud, or any conduct that puts a winery’s license at risk.
8. Acceptable use #
Do not scrape, crawl, reverse engineer, overload or interfere with the Platform; do not resell or commercially redistribute anything you buy through it; do not submit false information; and do not use the Platform to break any alcohol, tax or consumer law. Reviews and other content you post must be your own and lawful, and you grant Goodwine a non-exclusive, royalty-free license to display and distribute that content on the Platform.
9. Intellectual property #
The Platform, its software, design and content are owned by Goodwine or its licensors. Winery names, labels and marks belong to those wineries. Nothing in these Terms transfers any of those rights to you.
10. Privacy #
Our handling of personal information, including the identity and age data used for verification, is described in the Goodwine Privacy Policy, which forms part of these Terms.
11. Disclaimers and limits on liability #
The Platform is provided "as is" and "as available". To the fullest extent the law allows, Goodwine disclaims all implied warranties, including merchantability and fitness for a particular purpose. Goodwine does not make, bottle, label, store, sell or ship wine, and is not responsible for the quality, condition, labeling, or legality of any wine sold through the Platform — those are the selling winery’s responsibility.
To the fullest extent the law allows, Goodwine is not liable for indirect, incidental, special or consequential damages, and its total liability to you for any claim is limited to the greater of the service fees Goodwine earned on your orders in the 12 months before the claim, or [US$100]. Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud or death or personal injury caused by negligence. Some states do not allow certain exclusions, so parts of this section may not apply to you.
12. Disputes #
Most problems are resolved quickly by contacting us at info@goodwine.co, and we ask that you do that first and give us 30 days to respond. If a dispute remains, you and Goodwine agree to resolve it by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in New York County, NY or, at your election, your home county or by videoconference. You and Goodwine each waive the right to a jury trial and to participate in a class or representative action. Either of us may still bring an individual claim in small-claims court.
You can opt out of arbitration. Email info@goodwine.co within 30 days of first accepting these Terms, stating your name and that you decline arbitration. Opting out does not affect anything else in these Terms, and we will not treat it as a reason to close your account.
13. Governing law #
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles, except that the arbitration provision is governed by the Federal Arbitration Act. Nothing here deprives you of the protection of mandatory consumer-protection rules of the state where you live.
14. Changes, termination and general #
We may change these Terms. If a change is material we will give notice on the Platform or by email before it takes effect, and continued use after that date means you accept it; a change to the arbitration provision will not apply retroactively to a dispute we already know about. You may stop using the Platform at any time. Sections 6, 8, 9, 11, 12 and 13 survive termination. If a provision is unenforceable it is modified to the minimum extent necessary and the rest continues in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and Goodwine about the Platform. You may not assign them; we may assign them to a successor.
